1. Acceptance of terms

These Terms of Use govern your access to and use of CoatifyAI, including our website, dashboards, portfolio analysis tools, research pages, alerting features, brokerage integrations, and agent-based trading workflows. By using CoatifyAI, you agree to these terms.

2. Eligibility and account responsibility

You must be legally capable of entering into a binding agreement and responsible for maintaining the confidentiality of your login credentials. You are responsible for all activity that occurs under your account.

3. What CoatifyAI provides

CoatifyAI provides portfolio organization, strategy-based analytics, trade ideas, research workflows, alerting, brokerage connectivity, and configurable agent tooling. Some features may simulate trades, queue approvals, or submit trades through supported third-party broker integrations if enabled for your account.

4. No investment advice

CoatifyAI is a software platform, not a registered investment adviser, broker-dealer, or fiduciary. Content, scores, recommendations, research summaries, AI output, portfolio rankings, trade suggestions, and automation settings are for informational and decision-support purposes only. You remain solely responsible for evaluating suitability, tax consequences, legal compliance, and execution decisions.

No content on CoatifyAI constitutes a recommendation to buy, sell, hold, or allocate any security, account, strategy, or portfolio in a way that is personalized investment advice under applicable law.

5. Brokerage connectivity and execution

Brokerage connectivity is provided directly through supported brokerages and their APIs. Trade availability depends on the specific brokerage, authorization type, market hours, account permissions, symbol support, and provider availability. We do not guarantee that any connected brokerage will support read access, trading, or real-time execution.

If you enable any live-trading or agent functionality, you authorize CoatifyAI to act only within the permissions, limits, and guardrails you configure. You are solely responsible for reviewing and maintaining those settings.

Brokerage features may depend on account-level permissions, authorization scope, trading availability, cash availability, market conditions, order-type support, and third-party infrastructure. Orders may be delayed, rejected, partially filled, or not executed.

6. Agent and automation risk disclosure

CoatifyAI may offer simulation, approval-required trading, supervised live execution, or higher-autonomy strategy workflows. Automated or semi-automated workflows can react to incomplete data, stale prices, symbol mismatches, brokerage-side constraints, latency, or market volatility. You accept these risks when enabling any agent or automation feature.

You are responsible for choosing the appropriate execution level, setting trade-size limits, reserve levels, concentration caps, approved securities, and any other guardrails. You should not enable any automation level you do not fully understand.

7. AI features and generated output

CoatifyAI includes artificial-intelligence features — including large-language-model prompts, portfolio-manager and critic agents, scoring engines, research summaries, and generated trade rationales — that produce output algorithmically. AI output may be inaccurate, incomplete, outdated, internally inconsistent, or confidently wrong. You should not rely on AI output as a substitute for your own judgment, a licensed professional, or advice tailored to your individual circumstances.

You are responsible for reviewing AI-generated content before acting on it, for setting approval and autonomy levels appropriate to your risk tolerance, and for verifying any factual claim, price, ticker, or quantity the AI surfaces.

Inputs and outputs. You retain ownership of the prompts, files, portfolio data, and configuration you submit ("inputs"). Subject to these terms and applicable law, as between you and CoatifyAI, you own the AI-generated output rendered to you from your inputs ("outputs"), except for any portion of an output that reproduces third-party content, market data, or platform-provided templates, which remains subject to its respective rights. You grant CoatifyAI a worldwide, royalty-free license to host, process, transmit, store, and use inputs and outputs as necessary to operate, secure, debug, evaluate, and improve the service, including to improve AI prompts, safety guardrails, and workflow quality.

Data handling. AI processing is performed by CoatifyAI and by third-party AI providers. Limited information necessary to produce an output — for example, a portfolio summary, a ticker, or configuration settings — may be transmitted to those providers. See our Privacy Policy for details on categories of information, providers, and retention.

Availability and changes. AI features depend on third-party model availability, rate limits, quotas, billing, and infrastructure we do not control. We may modify, throttle, fall back to safer defaults, disable, or discontinue any AI feature at any time, with or without notice. When an AI call fails or is unavailable, the platform may safe-skip a cycle, reduce autonomy, or proceed with non-AI logic; you should not rely on any specific AI feature being available at any specific time.

8. User content and uploaded data

You retain ownership of the files, portfolio data, prompts, and inputs you submit. You grant CoatifyAI the rights necessary to host, process, analyze, transform, and display that content in order to provide the service.

9. Prohibited use

You may not use CoatifyAI to violate law, misuse brokerage credentials, interfere with the platform, attempt unauthorized access, reverse engineer restricted parts of the service, or submit data you do not have the right to use.

In connection with any AI feature, you additionally may not: (a) attempt to discover, extract, or reproduce system prompts, model weights, training data, hidden instructions, or internal guardrails; (b) run adversarial inputs designed to bypass the AI's safety or risk controls, or to manipulate an agent into acting outside the limits and guardrails you configured; (c) use AI features to generate content that is illegal, defamatory, harassing, hateful, that infringes intellectual-property rights, that impersonates another person, that provides individualized investment advice to others, or that is otherwise harmful; (d) submit inputs containing personal information of third parties, confidential information, or regulated data you do not have the right to share; (e) use AI output as the basis for trading decisions on behalf of anyone other than yourself, or to offer investment advisory services to third parties; or (f) automate, resell, or redistribute AI output in a manner that competes with CoatifyAI, that circumvents per-account rate limits, or that attributes AI output to any party other than CoatifyAI without disclosure.

10. Fees, subscriptions, and cancellations

Paid plans, subscription terms, renewals, and billing are described at checkout or on the pricing page. Unless otherwise stated, subscriptions renew automatically until cancelled. You are responsible for taxes, payment method accuracy, and any brokerage-side charges or third-party fees.

Except where required by law or expressly stated by CoatifyAI in writing, subscription fees are non-refundable once billed. You may cancel future renewals, but prior charges, partial periods, usage-based charges, and third-party fees may not be refunded.

11. Availability and changes

We may change, suspend, or discontinue any feature at any time. We do not guarantee uninterrupted availability, accuracy of market data, successful brokerage syncs, or successful order submission.

12. Disclaimers and limitation of liability

CoatifyAI is provided on an "as is" and "as available" basis without warranties of any kind. To the maximum extent permitted by law, CoatifyAI and its affiliates will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any trading losses, tax losses, missed opportunities, lost profits, or data loss arising out of or related to your use of the service.

Without limiting the foregoing, you acknowledge that AI outputs are produced algorithmically from probabilistic models, may be inaccurate or fabricated, and do not reflect professional financial, tax, or legal advice. CoatifyAI does not warrant that any AI output is accurate, complete, current, suitable for any particular purpose, or fit for use in a live trading or advisory context. To the maximum extent permitted by law, CoatifyAI will not be liable for trading losses, tax consequences, or operational outcomes that result from acting on AI output, from AI service unavailability, from delayed or safe-skipped cycles, or from AI-initiated orders executed within your configured autonomy level.

13. Indemnification

You agree to indemnify and hold harmless CoatifyAI and its affiliates from claims, liabilities, losses, and expenses arising from your use of the service, your violation of these terms, or your violation of any law or third-party rights.

14. Governing law

These terms are governed by the laws of the State of California, without regard to conflict of law principles, unless applicable law requires otherwise.
