1. Acceptance of terms

These Terms of Use govern your access to and use of CoatifyAI, including our website, dashboards, portfolio analysis tools, research pages, alerting features, brokerage integrations, and agent-based trading workflows. By using CoatifyAI, you agree to these terms.

2. Eligibility and account responsibility

You must be legally capable of entering into a binding agreement and responsible for maintaining the confidentiality of your login credentials. You are responsible for all activity that occurs under your account.

3. What CoatifyAI provides

CoatifyAI provides portfolio organization, strategy-based analytics, trade ideas, research workflows, alerting, brokerage connectivity, and configurable agent tooling. Some features may simulate trades, queue approvals, or submit trades through supported third-party broker integrations if enabled for your account.

4. No investment advice

CoatifyAI is a software platform, not a registered investment adviser, broker-dealer, or fiduciary. Content, scores, recommendations, research summaries, AI output, portfolio rankings, trade suggestions, and automation settings are for informational and decision-support purposes only. You remain solely responsible for evaluating suitability, tax consequences, legal compliance, and execution decisions.

No content on CoatifyAI constitutes a recommendation to buy, sell, hold, or allocate any security, account, strategy, or portfolio in a way that is personalized investment advice under applicable law.

5. Brokerage connectivity and execution

Brokerage connectivity is provided directly through supported brokerages and their APIs. Trade availability depends on the specific brokerage, authorization type, market hours, account permissions, symbol support, and provider availability. We do not guarantee that any connected brokerage will support read access, trading, or real-time execution.

If you enable any live-trading or agent functionality, you authorize CoatifyAI to act only within the permissions, limits, and guardrails you configure. You are solely responsible for reviewing and maintaining those settings.

Brokerage features may depend on account-level permissions, authorization scope, trading availability, cash availability, market conditions, order-type support, and third-party infrastructure. Orders may be delayed, rejected, partially filled, or not executed.

6. Agent and automation risk disclosure

CoatifyAI may offer simulation, approval-required trading, supervised live execution, or higher-autonomy strategy workflows. Automated or semi-automated workflows can react to incomplete data, stale prices, symbol mismatches, brokerage-side constraints, latency, or market volatility. You accept these risks when enabling any agent or automation feature.

You are responsible for choosing the appropriate execution level, setting trade-size limits, reserve levels, concentration caps, approved securities, and any other guardrails. You should not enable any automation level you do not fully understand.

7. User content and uploaded data

You retain ownership of the files, portfolio data, prompts, and inputs you submit. You grant CoatifyAI the rights necessary to host, process, analyze, transform, and display that content in order to provide the service.

8. Prohibited use

You may not use CoatifyAI to violate law, misuse brokerage credentials, interfere with the platform, attempt unauthorized access, reverse engineer restricted parts of the service, or submit data you do not have the right to use.

9. Fees, subscriptions, and cancellations

Paid plans, subscription terms, renewals, and billing are described at checkout or on the pricing page. Unless otherwise stated, subscriptions renew automatically until cancelled. You are responsible for taxes, payment method accuracy, and any brokerage-side charges or third-party fees.

Except where required by law or expressly stated by CoatifyAI in writing, subscription fees are non-refundable once billed. You may cancel future renewals, but prior charges, partial periods, usage-based charges, and third-party fees may not be refunded.

10. Availability and changes

We may change, suspend, or discontinue any feature at any time. We do not guarantee uninterrupted availability, accuracy of market data, successful brokerage syncs, or successful order submission.

11. Disclaimers and limitation of liability

CoatifyAI is provided on an "as is" and "as available" basis without warranties of any kind. To the maximum extent permitted by law, CoatifyAI and its affiliates will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any trading losses, tax losses, missed opportunities, lost profits, or data loss arising out of or related to your use of the service.

12. Indemnification

You agree to indemnify and hold harmless CoatifyAI and its affiliates from claims, liabilities, losses, and expenses arising from your use of the service, your violation of these terms, or your violation of any law or third-party rights.

13. Governing law

These terms are governed by the laws of the State of California, without regard to conflict of law principles, unless applicable law requires otherwise.
